One-storied madrasah of Matniyaz-Divan-beghi is situated to the east of Muhammad Amin-khan Madrasah. It was built by Muhammad-Amin's minister Muhammad-Niyaz Divan-beghi in 1871. The main facade is turned to Madrasah of Muham-mad-Amin-khan. A high portal with pentahedral niche, decorated with blue and white Khorezm majolica is a distinguishing feature of the madrasah.

Three arch niches and corner towers - guldasta with small lanterns and domes decorate its side wings. The southern and eastern facades are solid, the northern has an arcade. Madrasah's cross axis imitates structure of Amir-Tura Madrasah: southern mosque and northern false portal.
